CONSTITUTION AND BYLAWS

PREAMBLE
We,the founding members of Bulactiar Clan in Cansayong, Malimono, Surigao delNorte, guided by the Almighty God, feeling the necessity of a unified effort touphold our ancestors’ name, to enhance the spirit of unity, democracy andmutual understanding, to encourage the old and young generations through activeparticipation in every clan endeavor and to promote the general welfare of thefamily bound with love and cooperation, do hereby promulgate and adopt thisConstitution and By-laws.
ARTICLE I
Name, Location, Composition
Section 1. The association shall be known as “Associationof Bulactiar Clan” or referred to as “BuCAss”.
Section 2. The principal office of theassociation shall be located at the residence of the late Servando BaslotBulactiar in Brgy. Cansayong, Malimono, Surigao del Norte, Philippines.
Section 3. It shall be composed by all legitimateBulactiar resemblance – old and young, consanguinity or affinity, directly orindirectly, living in and outside the Philippines.
ARTICLE II
Purposes
Section 1. To develop familial unity and undertakeplans and programs aimed for the improvement of the physical, mental, moral andspiritual well-being of the members.
Section 2. To work, as one family, in promotingthe general welfare of the members which pave a way toward socio-economicbetterment.
Section 3. To offer voluntary services to itsmembers during unprecedented disasters such as fire, typhoon, death, flood andearthquake and other form of calamities either by natural or man-made.
Section 4. To foster cooperation among allmembers in the pursuit to improve the individual economic condition and thecommunity in general.
Section 5. To perform services vital to theimminent needs of the members and their families and to others, as well.
Section 6. To represent their members and defendtheir interest before the proper agencies and to take joint or lawful concertedactions for the redress of grievances, and to report human rights violations.
Section 7. To uphold the association’sobjectives by means of initiation fees, dues and funds derived from the members.
Section 8. To accept donations, contributions,and similar assistance from any lawful source in and outside the Philippines.
Section 9. To establish chapter offices or clancenters in every province where other members reside in for recreational,social, educational and other lawful purposes.
ARTICLEIII
Members
Section 1. Any resemblance of the Bulactiar clanshall be qualified member of the association including those by affinity orvirtue of marriage.
Section 2. Rightsof Members. A member shall have the following rights:
a. Toexercise the right to vote on all matters relative to the affairs of theassociation;
b. Tobe eligible to any elective or appointive office of the association;
c. Toparticipate in all deliberations/meetings of the association;
d. Toavail of all facilities and services of the association; and
e. To examine all the records or books ofthe association during business hours.
Section 3. Dutiesand Responsibilities of the Members. A member shall have the followingduties and responsibilities:
a. Toobey and comply with the constitution and by-laws, rules and regulations thatmay be promulgated by the association;
b. Toattend all meetings and activities of the association; and
c. To pay the required membership fees,dues and other monetary assistances of the association.
ARTICLE IV
Suspension, Expulsion and Terminationof Members
Section 1. Suspension, expulsion and terminationof members shall be in accordance with the rules and regulations of theassociation.
Section 2. Any member of the association may filecharges against a member by lodging a formal complaint to the Secretary of theassociation. The officers shall call a special meeting to consider the charges.
Section 3. The affirmative vote of majority ofall the officers shall be necessary to suspend a member; provided that wherethe penalty is expulsion, the affirmative vote of majority of all the membersof the association shall prevail.
ARTICLEV
Officers
Section 1. Officers.The officers of the association shall be composed by a President, Vice-President,Area Vice-Presidents (Luzon, Visayas, Mindanao), Secretary, Treasurer, Auditorand Public Relations Officer.
Section 2. Term of Office. All officers of the association shallhold office for one (1) year until such time their successors are duly electedand qualified, unless removed from office sooner due to valid grounds,permanently incapacitated, death, or resign.
Section 3. Incumbent officers shall bere-elected to office for not more than three (3) consecutive terms.
Section 4. In exigency of service, an officer mayhold dual positions provided therein that no one shall act as President andSecretary and President and Treasurer, at the same time.
ARTICLEVI
Functions and Powers of Officers
Section 1. President.The President, who must be a trustee, shall be the Chief Executive Officer ofthe association. He shall:
a. Presideover meetings of the association;
b. Executeand enforce all plans and programs of the association;
c. Rendermonthly and year-end reports before the members of the association;
d. Takecharge in directing and overseeing all the activities of the association;
e. Signcontracts, agreements, acts and deeds for and in behalf of the association;
f. Represent the association to anytransaction or social function beneficial to the association.
Section 2. Vice– President. The Vice-President is the next highest officer of the association.He shall:
a. Dischargethe functions of the President in case the latter dies, resigns, becomesphysically incapacitated or is suspended or removed from office; and
b. Assist the President in theimplementation of programs, projects and activities of the association.
Section 3. AreaVice-Presidents. The Area Vice-Presidents in Luzon, Visayas and Mindanaoshall serve as coordinating officer of the association. They shall:
a. Exercisedirect supervision in the implementation of plans, programs and activities ofthe association over the regions of their respective areas of jurisdiction;
b. Assistthe President in carrying-out the purposes and plans of the association intheir areas; and
c. Assist the Treasurer in the collectionof fees, dues, assistances in their areas.
Section 4. Secretary.The Secretary shall:
a. Certifiedaccredited members of the association;
b. Sendnotices in all meetings and activities of the association;
c. Recordand keep the minutes of the meetings of the association and committees;
d. Keepthe seal of the association and affix such seal to any paper or instrumentrequiring the same; and
e. Keep the records of the membership, andother pertinent papers, documents, properties and assets of the association.
Section 5. Treasurer.The Treasurer shall:
a. Takecustody of and control over all funds of the association;
b. Receive,collect and disburse funds of the association under the authority of thePresident;
c. Depositall funds and valuables in a reputable bank designated by the members of theassociation; and
d. Render financial report in everymeeting of the association.
Section 6. Auditor.The Auditor shall:
a. Examineperiodically the financial records of the association;
b. Reviewthe financial statement prepared and submitted by the Treasurer; and
c. Help the treasurer in promotingtransparency and accountability in all financial transactions of theassociation.
Section 7. PublicRelations Officer. The Public Relations Officer shall:
a. Establishrelations or contacts with the members for purposes of disseminatinginformation and notices relative to the association’s program of activities;and
b. Coordinate with the AreaVice-Presidents through the aid of mass media, or in the aid oftechnology, in circulating informationabout the incoming endeavors of the association.
ARTICLE VII
Election of Officers
Section 1. The members of the association shallelect the following;
a. President
b. Vice-President
c. AreaVice-Presidents (Luzon, Visayas, Mindanao)
d. ExecutiveSecretary
e. Treasurer
f. Auditor
g. Public Relations Officer
Section 2. The election of officers shall bedone by nomination of all the members present in the year-end meeting of theassociation held for the purpose, which to be done annually or during thecelebration of the year-end activity.
Section 3. All elected officers shall assumeoffice and perform their duties immediately after the election.
Section 4. In case of a tie, the President shallcast his vote to break the tie.
Section 5. In case of permanent vacancy, the Presidentmay appoint any qualified member to take over the unexpired term.
ARTICLEVIII
Meetings
Section 1. MonthlyMeeting. The monthly meeting of the association shall fall every lastSunday of the month to be held at its principal office.
Section 2. Year-EndMeeting. The year-end meeting of the members shall be considered likewiseas the year-end activity of the association, and shall be held on the 25thof December where the venue is to be determined by majority of the members.During this meeting, the President shall render collective report andassessments in the association. The election of officers shall also beconducted during this meeting.
Section 3. SpecialMeeting. There shall be a special meeting to be called as the need thereofarises, upon petition of 2/3 of the general membership.
Section 4. Orderof Business. The meeting shall follow a prescribed order of business, towit;
a. Opening Prayer
b. Proof of Notice of the Meeting
c. Call to Order
d. Roll Call / Declaration of Quorum
e. Reading and Approval of Minutes of the previous Meeting
f. Report of the President
g. Report of the Area Vice-Presidents (if present)
h. Report of the Treasurer
i. Unfinished Businesses (if any)
j. New Businesses
k. Other Matters
l. Announcements
m. Adjournment
n. Closing Prayer
Section 5. Quorum.The meeting shall obtain a quorum or simple majority to transact its officialbusinesses. Thus, the presence of 2/3 of the qualified members shall constitutethe quorum, such is necessary for the validity of every decision theassociation shall make.
ARTICLEIX
Reunion
Section 1. There shall be an annual “Reunion” ofthe association.
Section 2. The date and venue of the reunionshall be determined by the members present during the year-end meeting of theassociation.
Section 3. There shall be a program of activitieswhich governs the conduct of the reunion to be drafted by the officers and dulyapproved by the members of the association.
Section 4. There shall be a final notice of thedate and venue of the reunion. The said notice may be handed personally or byspecial mail, email and/or text messages one (1) month before the conduct forsuch reunion. The notice shall state briefly the purpose(s) of the saidactivity.
ARTICLEX
Finances
Section 1. Funds.The funds of the association shall be derived from membership fees, monthlydues, donations, gifts and voluntary contributions to specific projects andprograms.
Section 2. Disbursements.Withdrawal from the fund of the association, whether by check or cash shall besigned by the Treasurer and countersigned by the President.
Section 3. FiscalYear. The fiscal year of the association shall be from January 1st to December 31st of the current year.
Section 4. Feesand Dues. All members shall pay the one-time membership fee of P50.00 pesosand a monthly due of P10.00 pesos to the association. The collection accruedshall be deposited to the bank as the General Fund of the association.
Section 5. FinancialAssistances. The association shall establish a Trust Fund intended tosource up the special and urgent need of the members, to wit;
a. P100.00pesos – Mortuary Assistance
b. P100.00pesos – Wedding Assistance
c. P50.00 pesos – Medical Assistance
Section 6. The conduct of collection of thefinancial assistances shall be done primarily by the Treasurer. In case ofurgency, the President may create an Ad hoc Committee that shall initiate thecollection.
ARTICLEXI
Committees
Section 1. The association shall create standingand ad hoc committees which will assist the officers to attend the needs of theassociation, and work-out ways and means in addressing its immediate needs.
Section 2. All committee members shall beappointed by the President with the approval of the officers and members of theassociation.
Section 3. Each committee shall be manned of atleast three (3) members.
ARTICLEXII
OfficialSeal
Section 1. The official seal of the associationshall be in such form and design as may be determined and approved by theofficers and members of the association.
ARTICLEXIII
Amendmentsand Effectivity
Section 1. Any provision thereof, maybe amended,altered or repealed wholly or partly by the majority vote of the memberspresent in a regular meeting duly called and held for the purpose.
Section 2. Any amendment, alteration or repealthereof shall take effect immediately after the adoption and approval of themajority of the members present in a regular meeting duly called for thepurpose.
ADOPTEDAND APPROVED this 28thday of November 2010 in Brgy. Cansayong, Malimono, Surigao del Norte,Philippines, by the affirmative vote of the undersigned founding members of theassociation in a regular meeting duly held for the purpose.
